The terms and conditions governing your use of ADEX.
Critical Legal Notice
PLEASE READ CAREFULLY BEFORE USING ADEX.
By accessing or using ADEX, you confirm that you have read, fully understood, and unconditionally agree to be legally bound by these Terms. Your access and use constitutes acceptance and creates a binding contractual relationship.
ADEX IS EXCLUSIVELY A TECHNOLOGY PLATFORM. ADEX is NOT a transportation provider, carrier, logistics, or towing service. All services are provided by independent third-party contractors. You use the platform entirely at your own risk.
Definitions & Interpretation
In these Terms, unless the context otherwise requires, the following definitions apply:
MODERN CARRIER , a company registered under the laws of Libya, together with its affiliates, subsidiaries, and related entities.
The ADEX mobile applications (iOS and Android), websites, software, and all related digital services and infrastructure.
Any natural person who creates an account on the Platform to request services from independent Captains.
Any independent third-party contractor who uses the Platform to provide services. Captains are NOT employees or agents of ADEX.
The technology platform services enabling Users to connect with Captains for Transportation, Logistics, or Towing services.
Platform Model
Technology Platform, Not Service Provider
ADEX is exclusively a technology platform and information society service. ADEX does NOT provide, operate, or perform transportation, logistics, or towing services directly. ADEX does not employ, or control Captains.
Independent Contractors
All transportation, logistics, and towing services are provided by independent third-party contractors (Captains) who are NOT employees, agents, or representatives of ADEX. Each Captain operates independently and is responsible for their own services, conduct, and compliance with applicable laws.
Risk Assumption
You acknowledge and accept that you use the Platform and all Services entirely at your own risk. ADEX does not guarantee the availability, safety, quality, suitability, or legality of any service provided by Captains.
License & Intellectual Property
Limited License
ADEX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the purpose of arranging services with independent Captains.
- • Reproduce, modify, or distribute any part of the Platform
- • Use the Platform for commercial purposes without authorization
- • Reverse engineer, decompile, or attempt to discover source code
- • Remove or obscure any proprietary notices or labels
Intellectual Property Rights
All content, graphics, logos, names, and materials on the Platform are the exclusive property of ADEX or its licensors. All intellectual property rights are reserved. Your use of the Platform does not grant you any ownership interest in any intellectual property.
Your Use of Services
User Eligibility
You represent and warrant that you are at least 18 years of age, possess the legal capacity to enter into binding agreements, and are not prohibited from using the Platform by applicable law or these Terms.
Account Responsibility
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to notify ADEX immediately of any unauthorized access or use of your account.
Lawful Use Only
You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations. You shall not use the Platform in any manner that could damage, disable, or impair it.
Service-Specific Terms
Transportation Services
Transportation services connect you with independent Captains operating their own vehicles. ADEX is not a transportation provider and does not own, operate, or maintain any vehicles. All transportation services are provided by independent contractors at their sole discretion.
Logistics & Porter Services
These services enable you to arrange delivery of goods or packages through independent Captains. ADEX is not responsible for the condition, safety, or delivery of items. You assume all risk for items transported.
Towing Services
Towing services are provided by specialized independent operators. ADEX does not provide towing and is not responsible for vehicle damage, delays, or service quality. All towing is performed at your risk.
Safety & Verification
Captain Verification
ADEX conducts basic background checks and verification of Captains. However, ADEX does not guarantee the accuracy of information, does not assume liability for Captain conduct, and does not warrant that all Captains are suitable or safe.
GPS Tracking & Monitoring
The Platform may include real-time GPS tracking of trips. However, ADEX does not guarantee the accuracy or continuous availability of tracking data. Technical failures may occur at any time.
Disclaimer of Safety Guarantees
ADEX MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE SAFETY OF ANY CAPTAIN, VEHICLE, OR SERVICE. Users assume all risks associated with using services. ADEX is not responsible for personal injury, property damage, or other harm resulting from Captain conduct or services.
Payment Terms
Payment for services is processed through the Platform's integrated payment system. By using the Platform, you authorize ADEX to collect payment on your behalf and distribute to Captains.
- • Base fare or service charge
- • Distance and time charges
- • Surge pricing during peak demand
- • All applicable taxes and tolls
ADEX retains a service fee from each transaction. Charges are final and non-refundable except where required by applicable law or at ADEX's sole discretion.
User Conduct
You agree not to engage in any prohibited conduct, including:
- ✗ Harassment or discrimination
- ✗ Fraudulent or false claims
- ✗ Illegal activities
- ⚡ Account suspension
- ⚡ Legal action
- ⚡ Damages claims
Disclaimers of Warranties
AS-IS Disclaimer
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
ADEX expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. ADEX does not guarantee uninterrupted, secure, or error-free operation of the Platform.
Limitation of Liability
IN NO EVENT SHALL ADEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ADEX is not liable for:
- • Captain conduct, negligence, or misconduct
- • Vehicle condition or safety
- • Personal injury or property damage
- • Lost or damaged items
- • Technical failures or data loss
ADEX's total aggregate liability shall not exceed the amount paid by User in the 12 months preceding the claim.
Governing Law & Dispute Resolution
Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Libya, without regard to its conflict of laws principles. You irrevocably submit to the exclusive jurisdiction of courts located in Libya.
Dispute Resolution
Before initiating legal proceedings, parties agree to attempt good faith negotiation and resolution of disputes.
By using the Platform, you waive the right to jury trial and class action litigation. Any disputes must be brought on an individual basis.
Modifications to Terms
ADEX reserves the right to modify these Terms at any time. Continued use of the Platform after modifications constitutes acceptance of the updated Terms.
